1. Services

ERP Peers provides a variety of NetSuite services, including:

• NetSuite Implementation & Customization
• NetSuite Integrations
• NetSuite Data Migration
• NetSuite Training & Support

The specific services included in your engagement will be outlined in a separate Services Agreement.

2. Client Responsibilities

• You are responsible for providing accurate and complete information to ERP Peers for the successful delivery of Services.
• You are responsible for obtaining any necessary licenses or permissions for using NetSuite and related software.
• You are responsible for cooperating with ERP Peers throughout the engagement and providing timely feedback.

3. Warranties & Disclaimers

ERP Peers warrants that the Services will be performed in a professional and workmanlike manner in accordance with industry standards. However, ERP Peers makes no other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.

ERP Peers is not responsible for any delays, errors, or outages caused by factors beyond our reasonable control, including third-party software or hardware failures, internet outages, or force majeure events.

4. Limitation of Liability

ERP Peers’ liability under these Terms shall be limited to the amount of fees paid by you for the Services. In no event shall ERP Peers be liable for any indirect, incidental, consequential, or punitive damages.

5. Term & Termination

These Terms shall remain in effect for the duration of your engagement with ERP Peers for NetSuite services. The Services Agreement may specify a specific term or termination clause. Either party may terminate these Terms or the Services Agreement for cause upon written notice to the other party.

6. Intellectual Property

ERP Peers retains all ownership rights to its intellectual property, including methodologies, tools, and documentation developed for the Services. Client shall not use or disclose any such intellectual property without the prior written consent of ERP Peers.

7. Confidentiality

Both parties agree to keep confidential all non-public information disclosed by the other party in connection with the Services.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of [Karnataka], without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms shall be resolved by jurisdiction.

9. Entire Agreement

These Terms constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

10. Amendments

ERP Peers reserves the right to amend these Terms at any time by posting the amended Terms on its website. Your continued use of the Services after the posting of amended Terms constitutes your acceptance of the amended Terms.

11. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

12. Waiver

No waiver of any breach of these Terms shall be deemed a waiver of any subsequent breach.
